By creating an account, accessing our platform (via www.txtspace.com), or utilizing our API and services, you acknowledge that you have read, understood, and agreed to be bound by the following Terms and Service Agreement. If you do not agree to these terms, you must discontinue use of our services immediately.

1. Our Services

txtspace provides a digital communication infrastructure designed for businesses, specifically focusing on:

  • High-volume SMS transmission and marketing campaigns.
  • Two-way messaging and data capture.
  • Digital engagement tools and API integrations.

We reserve the right to update, modify, or deprecate features within the platform at any time to improve performance or comply with regulatory changes.

2. Account Security & Integrity

To access the txtspace dashboard, you are required to register an account. You agree that:

  • All information provided (Company Name, Contact Details) is accurate and current.
  • You are responsible for maintaining the confidentiality of your login credentials and API keys.
  • You accept full responsibility for all activities that occur under your account, including messages sent by your staff or via your API connection.

3. Acceptable Use Policy

You agree to use txtspace strictly in accordance with all applicable laws (including GDPR and PECR in the UK). You are strictly prohibited from using our platform to:

  • Send unsolicited spam, phishing attempts, or fraudulent messages ("Smishing").
  • Distribute content that is illegal, offensive, harmful, or violates the intellectual property rights of others.
  • Attempt to reverse-engineer, disrupt, or compromise the security of the txtspace infrastructure.
  • Scrape data or use automated systems to access our website without permission.

Violation of this clause may result in immediate account suspension without refund.

4. Payments and Billing

Services on txtspace are provided on a commercial basis.

  • Charges: You agree to pay all fees associated with your selected plan or usage tier.
  • Non-Refundable: Unless explicitly stated in a separate Service Level Agreement (SLA), all payments for SMS credits or subscription fees are non-refundable.
  • Rate Changes: We reserve the right to adjust per-message pricing based on carrier network costs, provided we give reasonable notice.

5. Intellectual Property

The txtspace platform, including our code, visual interfaces, documentation, and trademarks, is the exclusive property of txtspace. You are granted a limited, revocable, non-exclusive license to use the service for your internal business purposes. You may not copy, modify, or resell any part of our intellectual property.

6. Limitation of Liability

To the fullest extent permitted by UK law:

  • txtspace provides services on an "as is" and "as available" basis.
  • We shall not be liable for any indirect, special, or consequential damages, including but not limited to loss of profits, data, or business reputation, arising from the use or inability to use our services (e.g., carrier network downtime).

7. Indemnification

You agree to indemnify and hold txtspace (including our directors, employees, and partners) harmless from any claims, damages, or legal fees resulting from:

  • Your breach of these Terms.
  • The content of the messages you send using our platform.
  • Your violation of any third-party rights or data protection laws.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to Terms

We may update these terms occasionally to reflect changes in our business or the law. Continued use of the service after such changes constitutes your acceptance of the new terms.
